Matt's career began on the lender side. Across more than two decades at Bank of Scotland and then Lloyds Banking Group he structured, credit-committed and underwrote corporate and property finance transactions, including the senior and mezzanine debt behind buyouts and acquisitions, the same kind of case our desk now packages from the other side of the table. That dual perspective, what a credit committee will and will not fund, how much leverage a business can genuinely carry, and which structures get a deal over the line, is the core of how we advise acquirers, management teams and sponsors.

Over a 25-year career he has been involved in raising more than £400 million of debt and equity for clients across corporate transactions, buy-to-let, commercial property and development finance. The portfolio of sites he operates today funnels into a single specialist desk, run on the principle that the adviser should know more about the lender than the borrower does.

Why lender-side experience matters in a leveraged deal

A leveraged acquisition asks a lender to fund most of a price on the strength of earnings the borrower does not yet control. Credit committees answer that with structure: how many times EBITDA they will lend, what cover and leverage covenants they need, how much equity has to sit beneath them, and how the layers rank in the intercreditor deed. Having written and defended those credit papers for two decades, Matt structures an acquisition the way a committee will read it, which is what turns a "we would like to" into a sanctioned facility.

Every leveraged deal carries decisions a trading-company loan never faces: the split between senior debt, unitranche, mezzanine and asset based facilities; whether a sponsor belongs in the deal at all; how covenants are set against the forecast; how much amortisation the cash flow can bear; and how to keep the vendor, the funders and the buyer aligned through a five-month process. On those, the adviser's experience of the lender side is what decides whether the deal completes, at what leverage, and on what terms.
